Membership Agreement.
The agreement you accept with your application.
Research Purpose Only Membership Agreement
This is the membership contract between Research Purpose Only and the member. It governs the membership relationship only. It does not incorporate Research Purpose Only's other documents — the Research Disclaimer, Terms of Use, Privacy Policy, Notice at Collection, or Email Consent Disclosure — as contractual terms. Those documents stand separately and are referenced here only where a reference is useful. See section 32.2.
1. This Agreement
This Membership Agreement ("Agreement") governs membership of Research Purpose Only. It is entered into between Research Purpose Only and you, the applicant or member.
This Agreement contains no automatic assignment or transfer mechanism by which this Agreement or any membership would pass to another party. Any such transition will be handled deliberately at the time.
You accept this Agreement electronically, as described in section 27.
2. Definitions

3. Interpretation
Section headings are for convenience only and do not affect interpretation. The words "include," "includes," and "including" are deemed to be followed by "without limitation." References to a section are to a section of this Agreement unless stated otherwise.
4. Eligibility and continuing requirements
To be admitted to and to remain in membership, you must:
- be 21 years of age or older;
- be located in, and eligible to participate from, the United States;
- use membership for research purposes only;
- not administer any substance to humans or animals in connection with Research Purpose Only;
- provide and maintain truthful, accurate, and complete membership information; and
- comply with applicable membership and compliance requirements and with applicable law.
These are continuing requirements, not one-time statements. If any of them ceases to be true, you must promptly notify Research Purpose Only, and Research Purpose Only may act under section 16.
Your acceptance of this Agreement is an acceptance event that occurs at a point in time. It is not itself a continuing requirement, although the obligations you accept continue for as long as they apply.
5. Application and human review
Every membership application is reviewed by a person. Research Purpose Only does not decide membership applications by automated decision-making.
Research Purpose Only may approve or reject any application at its discretion, subject to applicable law. Submitting an application creates no contractual right to membership.
Research Purpose Only is not required to provide detailed reasons for rejecting an application, for suspending or terminating a membership, or for declining a renewal, subject to applicable law.
Providing false or misleading information is a breach of this Agreement and is grounds for rejection, suspension, or termination.
6. What Approval means, and what it does not mean
Approval is only Research Purpose Only's own admission decision.
Approval, and any review Research Purpose Only performs, is not:
- identity verification;
- credential verification;
- qualification verification;
- licensure verification;
- institutional or affiliation verification;
- accreditation;
- certification;
- endorsement; or
- confirmation of compliance.
Research Purpose Only does not represent any applicant or member as checked, qualified, licensed, credentialed, accredited, supervised, or compliant.
7. Agreement, Certifications, and Approval
You accept this Agreement and give the Certifications when you apply, as part of your membership application and before Research Purpose Only reviews it. Your application is not complete, and will not be reviewed, unless you have done both.
Accepting this Agreement and giving the Certifications does not create membership and does not entitle you to membership. Research Purpose Only decides whether to approve your application, at its discretion and subject to applicable law, as described in sections 5 and 6.
Membership begins on Approval. On Approval your membership becomes active, your joining date is recorded, and the Term begins on that date as described in section 9. Research Purpose Only determines whether and when Approval occurs.
Research Purpose Only will not approve an application into membership against a Membership Agreement that is not in force, and will not approve an application that does not carry your acceptance of this Agreement and each of the Certifications.
8. Required Certifications
In the membership application, the following are presented as separate affirmative certifications. Each is separate, each must be affirmatively given, none is pre-selected, and all are required for the application to be submitted:
- I have read and accept the Research Purpose Only Membership Agreement.
- I am 21 years of age or older.
- I am located in the United States.
- I am joining Research Purpose Only for research purposes only.
- I will not administer any substance to humans or animals in connection with Research Purpose Only.
Certifications 2 through 5 correspond to continuing requirements under section 4 and are given again on renewal under section 10.
Certification 2 is also a condition of applying at all: Research Purpose Only does not accept applications from people under 21.
9. Membership Term
The Term of membership is 12 months, beginning on the date of Approval under section 7.
Membership does not renew automatically. Membership expires at the end of the Term unless it is renewed under section 10. There is no automatic renewal and no automatic extension of the Term.
10. Renewal
Renewal is a new affirmative act. To renew, you must give the Certifications again to Research Purpose Only and accept the Membership Agreement version then in force; Research Purpose Only records the renewal.
Research Purpose Only may decline a renewal, subject to applicable law, and is not required to give detailed reasons. Nothing in this Agreement promises renewal.
11. Fees
This Agreement does not state a membership fee or price, and does not establish fee, billing, waiver, or refund mechanics. Section 21 refers to fees actually paid by you where applicable.
12. Purpose of membership, and prohibited use
Membership is for research purposes only.
- Research Purpose Only does not authorize or endorse the administration of any material to any human being or to any animal, and you must not use membership, or anything obtained through Research Purpose Only, in connection with doing so.
- Research Purpose Only is not a pharmacy, not a medical provider, not a veterinary provider, and not a clinical service. Membership creates no medical, veterinary, or clinical relationship.
- Research Purpose Only does not provide medical or veterinary advice, diagnosis, treatment, or dosing or administration guidance, and will not provide such guidance on request.
- A research-purposes-only designation does not itself make any conduct lawful. It does not determine or alter the legal or regulatory status of any material, and it does not relieve you of any legal obligation.
Membership gives you no legal authority, authorization, license, permission, or standing of any kind. It does not permit you to obtain, possess, import, transfer, handle, or use any material, and it does not make lawful anything that would otherwise be unlawful. You remain responsible for compliance with all applicable federal, state, and local law and with every regulatory, oversight, safety, and ethical requirement that applies to you and to your work.
13. Independent research
You remain responsible for your own research decisions. Research Purpose Only does not direct, supervise, review, approve, or oversee your research.
Membership creates no:
- researcher-and-supervisor relationship;
- principal-investigator relationship;
- laboratory relationship;
- institutional relationship; or
- similar professional research relationship.
14. Member responsibilities
As a member you must:
- provide truthful, accurate, and complete membership information, and keep relevant membership information accurate and current;
- promptly notify Research Purpose Only if an eligibility requirement or a continuing certification under section 4 ceases to be true;
- reasonably cooperate with legitimate membership and compliance reviews under section 16;
- comply with applicable membership and compliance requirements and with applicable law; and
- not misrepresent your relationship with Research Purpose Only, or represent that Research Purpose Only has approved, endorsed, supervised, certified, or validated any activity, material, or person.
15. Membership is personal and non-transferable
Membership is personal to the approved member. You may not assign or transfer this Agreement or your membership to any other person or entity. You must not allow another person to use your membership.
16. Compliance, suspension, cancellation, and termination
16.1 By Research Purpose Only. Research Purpose Only may restrict, suspend, or terminate a membership, or decline a renewal, for legitimate membership or compliance reasons, including:
- eligibility problems;
- false or misleading information;
- a certification becoming untrue;
- violation of this Agreement;
- prohibited conduct;
- legal or compliance concerns; or
- material risk.
Research Purpose Only may act immediately, and without prior warning or an opportunity to cure, where circumstances warrant, and is not required to give detailed reasons, subject to applicable law.
16.2 Research-purposes-only and no-administration compliance. If Research Purpose Only reasonably believes that a member is using membership contrary to the research-purposes-only requirement or to the no-administration requirement, it may immediately restrict, suspend, or terminate the membership.
16.3 Compliance review. Where there is a legitimate compliance concern, Research Purpose Only may temporarily restrict account access while it reviews the matter, without first reaching a final determination that a violation occurred.
16.4 Compliance cooperation. Research Purpose Only may request information reasonably necessary to evaluate an actual membership or compliance issue. Failure to cooperate reasonably may affect membership.
16.5 No duty to monitor. Research Purpose Only's ability to review and enforce membership and compliance requirements does not create any contractual duty to monitor continuously the conduct of any member.
16.6 Security-based access restriction. Research Purpose Only may temporarily restrict or disable account access for legitimate security reasons, such as suspected unauthorized access or compromised credentials, without necessarily suspending or terminating membership.
16.7 Cancellation by you. You may cancel your membership at any time by contacting Research Purpose Only. Research Purpose Only may take reasonable steps to confirm that a cancellation request genuinely comes from the member before processing it.
16.8 Effect. On expiry, cancellation, suspension, or termination, the associated membership rights end. This does not relieve you of responsibility for conduct before it, and does not by itself delete records described in section 28. Sections identified in section 31 survive.
17. Membership and separate transactions
Membership is separate from the purchase of any product, material, or other offering. Any such transaction is a separate matter and may have its own price, availability, checkout terms, policies, and requirements, which are not stated in this Agreement.
Active membership does not guarantee that any transaction will be accepted. Research Purpose Only may decline, cancel, hold, or refuse an individual order or transaction for legitimate reasons, including availability, compliance, legal concerns, risk, suspected misuse, or inaccurate information. Transaction status is separate from membership status.
Research Purpose Only may add, remove, discontinue, restrict, or change products, materials, and offerings. Membership does not guarantee that any particular item or offering will remain available.
18. Information about materials, and third-party information
Research Purpose Only may provide descriptions, specifications, certificates, research information, or third-party documentation. Providing any of that does not constitute approval of your particular research or intended use. You remain responsible for lawfulness, suitability, handling, and applicable requirements.
Research Purpose Only may provide information originating from manufacturers, laboratories, suppliers, or other third parties. To the extent legally permitted, Research Purpose Only does not independently guarantee that third-party information is accurate, complete, or current. Providing a certificate of analysis, laboratory report, or testing result does not mean that Research Purpose Only performed the testing or independently confirmed the findings.
19. Changes to the website and platform
Research Purpose Only may modify, replace, add to, or discontinue website or platform features, content, and functionality. Doing so does not by itself constitute a breach of this Agreement.
20. Disclaimers
To the fullest extent permitted by applicable law, membership and all information made available through Research Purpose Only are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement.
Research Purpose Only does not warrant or guarantee:
- the accuracy, completeness, or currentness of any information;
- the suitability of any information or material for any purpose;
- uninterrupted availability; or
- error-free operation.
Membership does not guarantee access to any particular product, material, offering, inventory, availability, research result, or outcome.
21. Limitation of liability
To the maximum extent permitted by applicable law, Research Purpose Only's total aggregate liability arising out of or relating to this Agreement or membership, whether in contract, tort, strict liability, or otherwise, shall not exceed the total fees actually paid by you to Research Purpose Only for membership.
To the maximum extent permitted by applicable law, Research Purpose Only shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost opportunity, or business interruption, even if advised of the possibility of such damages.
Nothing in this Agreement excludes or limits any liability that cannot lawfully be excluded or limited.
22. Indemnification
You will indemnify, defend, and hold harmless Research Purpose Only from and against third-party claims, losses, liabilities, damages, and reasonable expenses (including reasonable attorneys' fees) arising out of or relating to:
- your misuse of membership or of anything obtained through Research Purpose Only;
- your breach of this Agreement;
- your violation of applicable law; or
- any administration of a substance to a human or an animal, or other conduct prohibited by section 12.
23. Confidentiality
Research Purpose Only and the member will each protect the other's non-public confidential information disclosed in connection with the membership relationship, and will use it only for purposes of that relationship. Customary exclusions should apply, including information that is or becomes publicly available through no fault of the receiving party, was already known without a confidentiality obligation, is independently developed without use of the disclosing party's confidential information, or is required to be disclosed by law or legal process, provided that the receiving party gives prompt notice where legally permitted and cooperates reasonably with efforts to limit the disclosure.
Your personal information is separately subject to applicable privacy law and to Research Purpose Only's privacy documentation, which this Agreement does not incorporate.
Confidentiality obligations survive expiry, cancellation, and termination.
24. Intellectual property, and use of the Research Purpose Only name
24.1 Ownership. Research Purpose Only retains all ownership of its branding, website and platform content, research and informational materials, documents, graphics, software, and other proprietary materials. Membership transfers no ownership of any Research Purpose Only intellectual property.
24.2 Limited use. You receive only such limited access and use rights as are necessary for permitted membership use. You may not copy, reproduce, republish, distribute, sell, sublicense, or commercially exploit Research Purpose Only proprietary materials except where expressly authorized or permitted by applicable law.
24.3 Membership status and branding. You may truthfully state that you are a Research Purpose Only member. You may not use the Research Purpose Only name, trademarks, logos, or branding to imply endorsement, sponsorship, approval, certification, supervision, or affiliation that does not exist, unless authorized.
25. Communications
Research Purpose Only does not send automated email. A person at Research Purpose Only may contact you by email or by telephone about your application, your membership, its renewal, or a change to a document that affects you. That contact is part of operating the relationship and may continue where appropriate.
Research Purpose Only sends occasional research notes by email only if you asked for them when you applied. You may unsubscribe at any time without cancelling your membership, and unsubscribing does not affect your eligibility or your membership status.
26. Changes to this Agreement, and versioning
Each published version of this Agreement is stored as an immutable version with a content hash. A change is always a new version, never an edit in place, so the version you accepted remains identifiable from Research Purpose Only's records.
Your acceptance binds you to the version in force when you accepted it. A material change does not automatically rewrite an Agreement already accepted for an ongoing Term. Generally, a material change applies on affirmative acceptance or on renewal, unless applicable law permits or requires otherwise.
This version replaces the previous version prospectively. A membership accepted under an earlier version remains governed by that version for its current Term, and this version applies to it on renewal under section 10.
27. Electronic acceptance, signatures, and records
Normal execution of this Agreement is electronic. Electronic acceptance, electronic signatures, and electronic records are valid and enforceable, subject to applicable law, and no paper signature is required.
Research Purpose Only maintains durable evidence of acceptance, including the exact Agreement version, its content hash, the timestamp, the applicant, member or account concerned, and the acceptance and certification events.
28. Membership records
Research Purpose Only may maintain records concerning application, review and Approval, acceptance of this Agreement, Certifications, membership status, suspension and termination, renewal, and relevant compliance events.
Subject to applicable law, Research Purpose Only's electronic records of acceptance, Certifications, Approval, and membership events may be used as evidence of those events.
Handling of personal data remains subject to applicable privacy law and to Research Purpose Only's separate privacy documentation. This Agreement does not state a retention period.
29. Governing law and disputes
29.1 Governing law. This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles.
29.2 Informal resolution. Before initiating litigation, the parties will first attempt in good faith to resolve any dispute through informal discussions.
29.3 Mediation. If informal discussions do not resolve the dispute, the parties will attempt to resolve it through non-binding mediation in Los Angeles County, California, with a mutually selected mediator.
29.4 Litigation and venue. If mediation does not resolve the dispute, either party may initiate litigation in the state or federal courts located in Los Angeles County, California, and the parties consent to the jurisdiction and venue of those courts.
29.5 Attorneys' fees. In any action arising out of or relating to this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.
29.6 Jury trial waiver. To the extent permitted by applicable law, each party knowingly, voluntarily, and intentionally waives any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Agreement or membership.
29.7 Individual basis. To the extent permitted by applicable law, disputes are to be brought on an individual basis only, and not as a plaintiff or class member in any class, collective, or representative proceeding.
30. Remedies
Research Purpose Only may seek injunctive or other equitable relief where appropriate, in addition to any other remedy available to it.
Exercising one available contractual or legal remedy does not necessarily prevent the use of another available remedy.
31. Survival
The following survive expiry, cancellation, or termination of membership, to the extent applicable: section 12 (purpose and prohibited use), section 13 (independent research), section 18 (information about materials), section 20 (disclaimers), section 21 (limitation of liability), section 22 (indemnification), section 23 (confidentiality), section 24 (intellectual property and name), section 26 (versioning), section 27 (electronic records), section 28 (membership records), section 29 (governing law and disputes), section 30 (remedies), this section, and section 32 (general provisions) as applicable.
32. General provisions
32.1 Entire agreement — membership relationship only. This Agreement is the entire agreement between Research Purpose Only and you concerning the membership relationship, and supersedes prior discussions and understandings on that subject.
32.2 Relationship to Research Purpose Only's other documents. This Agreement does not incorporate, override, or replace the Research Disclaimer, Terms of Use, Privacy Policy, Notice at Collection, or Email Consent Disclosure. Those documents are separate and apply on their own terms.
32.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions continue in full force and effect, and the affected provision shall be modified only to the minimum extent necessary to make it enforceable while preserving the parties' intent, to the extent permitted by applicable law.
32.4 Waiver. A waiver of any provision of this Agreement should be in writing to be effective. No failure or delay in exercising any right operates as a waiver of that right.
32.5 Assignment. You may not assign or transfer this Agreement or your membership, in whole or in part. Any purported assignment or transfer by you is void.
32.6 No agency or other relationship. Nothing in this Agreement creates a partnership, joint venture, employment, agency, or representative authority between Research Purpose Only and you, and neither party may bind the other. Membership also creates none of the research relationships described in section 13.
32.7 Third-party beneficiaries. This Agreement does not create contractual rights or remedies for any unrelated third party unless expressly stated otherwise.
32.8 Notices. Formal notices under this Agreement may be delivered electronically by email.
